Welcome to Bristol Avenue's Terms of Service (the "Agreement"). This Agreement is a legal contract between you ("you" or "Subscriber") and Bristol Avenue ("we" or "us"), the owner and operator of the Bristol Avenue website (the "Site"), and any and all services offered by Bristol Avenue, including but not limited to creative services, consultation, and design services (collectively, the "Services"). By using or subscribing to any of the Services offered by Bristol Avenue, you agree to be bound by this Agreement.

1. Services Provided. Bristol Avenue provides creative services, consultation, and design services to subscribers. Our Services may include but are not limited to: graphic design, branding, advertising, marketing, and consulting. We will provide our Services in accordance with our standard policies and procedures.

2. Payment. All fees for the Services are stated on our Site and are subject to change at any time. Payment for our Services must be made in full before we begin providing our Services. If payment is not received, we reserve the right to refuse to provide our Services.

3. Non-Disclosure Agreement. Bristol Avenue and the Subscriber mutually agree that during the course of the Services, Bristol Avenue may have access to the Subscriber's confidential information. Bristol Avenue agrees to maintain the confidentiality of such information, and to not disclose such information to any third party, except as required by law. The Subscriber agrees to not use, disclose, or reproduce any confidential information of Bristol Avenue. This non-disclosure agreement shall survive termination of this Agreement.

4. No Guarantees. Bristol Avenue does not guarantee any particular results from the Services. Subscriber acknowledges that Bristol Avenue's Services are subjective and that Bristol Avenue does not warrant that any particular outcome or result will be achieved.

5. Indemnification. Subscriber agrees to indemnify, defend, and hold Bristol Avenue and its affiliates, agents, and employees harmless from any and all claims, demands, actions, suits, or proceedings, as well as any and all losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees), arising out of or relating to Subscriber's use of the Services, Subscriber's breach of this Agreement, or Subscriber's violation of any law or the rights of any third party.

6. Limitation of Liability. In no event shall Bristol Avenue be liable to Subscriber or any third party for any indirect, incidental, consequential, special, or punitive damages, including without limitation lost profits, lost data, or business interruption, arising out of or relating to this Agreement or the Services provided hereunder, even if Bristol Avenue has been advised of the possibility of such damages. Bristol Avenue's liability under this Agreement, if any, shall be limited to the total fees paid by Subscriber to Bristol Avenue for the Services during the twelve (12) month period immediately preceding the event giving rise to the liability.

7. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the state of Kentucky, without regard to its conflict of law provisions.

8. Dispute Resolution. Any dispute arising out of or relating to this Agreement or the Services provided hereunder shall be resolved through binding arbitration, in accordance with the rules of the American Arbitration Association.

9. Termination. This Agreement may be terminated by either party upon written notice to the other party. Upon termination, Bristol Avenue shall have no obligation to provide any further Services.

10. Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements or understandings, whether written or oral. No modification, amendment, or waiver of any provision of this Agreement shall be effective unless in writing and signed by the party against whom the modification, amendment, or waiver is to be enforced.

11. No Refunds for Memberships. Subscriber acknowledges and agrees that any and all fees paid for memberships are non-refundable. In the event of termination or cancellation of a membership, no refunds will be issued for any unused portion of the membership term, and Subscriber shall not be entitled to any credits, reimbursements, or any other form of compensation.

    By using or subscribing to any of the Services offered by Bristol Avenue, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions set forth in this Agreement.
